1) Introduction and acceptance of the terms & conditions

These Terms & Conditions (“Terms”) govern all access to and use of the unifylingua.com website and any related pages, subdomains, applications, tools, features, content, and services (collectively, the “Site”). The Site is owned and operated by unifylingua (“unifylingua,” “we,” “us,” or “our”) in the United States.

The Site is offered subject to your acceptance, without modification, of all Terms contained herein and all other operating rules, policies, and procedures that may be published from time to time on the Site, including our Privacy Policy, which is incorporated by reference.

By visiting, browsing, registering for an account, purchasing, booking a session, accessing lessons/quizzes, or otherwise using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

You represent that you are at least 18 years of age, or if you are under 18, you may only use the Site with the consent and supervision of a parent or legal guardian as described in the “Registration” section.


2) Update of terms & conditions

We may update these Terms at any time. When we do, we will revise the “Last updated” date above and may provide notice via the Site or email when changes are material.

Your continued use of the Site after any update constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Site and, if applicable, cancel any subscriptions or services.


3) General

3.1 Notices

All notices to unifylingua must be sent by email to info@unifylingua.com. We will send notices to Users at the email address associated with their account. Notices will be deemed received 24 hours after they are sent.

You must keep your account email accurate and up to date. If you change your email address, you must update it promptly.

3.2 Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, the remainder will remain in full force and effect, and the invalid provision will be limited or removed only to the minimum extent necessary.

3.3 No waiver

Any failure or delay by unifylingua to enforce any right or provision shall not constitute a waiver of that right or provision.

3.4 Governing law and jurisdiction (Wyoming, USA)

These Terms and your use of the Site are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, unless otherwise required by applicable law.

3.5 Right to refuse service; safety and quality monitoring

We reserve the right to refuse, restrict, suspend, or terminate service to any User if necessary to protect the platform, safety, service quality, or to enforce these Terms. If service is refused after a purchase, unused Services will be addressed under the “Payment and refund” section.

We may monitor Site activity to detect fraud, abuse, and security threats and to improve Services. Where permitted by law and consistent with our Privacy Policy, we may record or log session metadata and platform actions (e.g., bookings, completion, cancellations, communications, lesson completion, quiz results) to maintain service quality and resolve disputes.

3.6 File and content sharing responsibility

Users are responsible for any files, links, images, or content shared through the platform. You agree to ensure anything you share is lawful and safe. unifylingua is not responsible for damage caused by unsafe links, materials exchanged between users, or content shared by Users.

3.7 Feedback and community standards

Feedback and reviews must not contain unlawful, hateful, sexually explicit, harassing, vulgar, or otherwise inappropriate content. We may remove feedback and take action against Users who violate these rules.


4) Definitions

For purposes of these Terms:

  • “Service(s)” means any products or services offered by unifylingua, including live 1-to-1 sessions, lessons, quizzes, subscriptions, packages, memberships, or content access.

  • “Student” means a user seeking language-learning services.

  • “Tutor” means a user providing live 1-to-1 instruction through the platform (where applicable).

  • “Session” means a scheduled one (1) hour live lesson between a Student and a Tutor conducted online.

  • “Content” means lessons, quizzes, materials, videos, text, worksheets, audio, downloads, and platform resources.

  • “User” means any person accessing or using the Site, including Students and Tutors.

  • “Charges” means amounts payable for Services, including subscriptions, packages, or single session purchases.

  • “Subscription” means a recurring payment plan that provides access to certain Services.

  • “Credits/Tokens” (if used) means pre-paid units that may be used to book Sessions or unlock certain Services.

Words in the singular include the plural and vice versa.


5) Nature of Site

The Site provides a language-learning platform. Students may access structured learning content (lessons, quizzes, and related materials) and may book live 1-to-1 Sessions with Tutors where offered.

We may display Tutor profiles, availability, and other information to assist Students. Students remain responsible for selecting Tutors and booking Sessions that match their needs.

Sessions are conducted online through the Site or through approved video conferencing tools as determined by unifylingua.

unifylingua does not guarantee any specific learning outcomes, exam results, job outcomes, or fluency gains.


6) Cookies

We use cookies and similar technologies as described in our Privacy Policy. Cookies may be required for login, security, preferences, platform performance, and analytics. Disabling cookies may limit functionality.


7) Technical requirements

To use the Site and Services effectively, you must have:

  • A stable internet connection capable of supporting audio/video

  • A compatible device (desktop/laptop recommended for live sessions)

  • A supported browser (e.g., Chrome, Safari, Edge, Firefox) or approved app (if applicable)

  • A working microphone and (if required) a webcam

7.1 Student equipment responsibility

If a Student cannot attend or complete a Session due to inadequate equipment, software, or connection on the Student’s side, the Session may be considered completed and may not be eligible for refund, except where required by law or at our discretion.

7.2 Tutor equipment responsibility

If a Session cannot be delivered due to the Tutor’s technical failure, the Student may receive a replacement Session, credit, or refund according to the circumstances.

7.3 Platform or third-party outages

If a Session fails due to Site-wide technical issues or outages, we may provide a replacement Session or credit.


8) Registration

8.1 Account creation

To access certain Services, you must register for an account. You agree to provide accurate information and keep it updated.

Accounts are personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

8.2 Email verification

We may require email verification. Accounts registered with another person’s email, invalid emails, or temporary emails may be terminated without notice.

8.3 Prohibited conduct and messaging rules

You agree not to use the platform or messaging tools to:

  • Harass, threaten, abuse, defame, or discriminate

  • Share obscene or sexually explicit content

  • Send spam, promotions, or irrelevant advertising

  • Impersonate others or create false identities

  • Share illegal or infringing content

  • Attempt to bypass platform safeguards or security measures

8.4 Off-platform solicitation prohibited

Users may not use the platform to move sessions, payments, or communication off-platform in order to avoid fees, policies, or safeguards. This includes requesting phone numbers, private emails, messaging app handles, or video-call links intended to bypass unifylingua systems. Violations may result in suspension or termination.

8.5 Minors

If minors are permitted to use Services on unifylingua, they may do so only with the consent and supervision of a parent/legal guardian. The guardian is responsible for monitoring the minor’s use of the Site and Sessions.


9) Tutors’ Warranties

Tutors warrant that:

  1. They are at least 18 years of age and legally able to provide tutoring services.

  2. They have provided accurate, current information in their Tutor profile.

  3. They will act professionally and respectfully in all Sessions and communications.

  4. They will not request personal identifying information from Students beyond what is necessary for the Session and will not request contact details to move off-platform.

  5. They will not use offensive, defamatory, unlawful, or infringing materials.

  6. They are responsible for their own workspace, environment, and professional standards (appropriate language, appropriate attire, appropriate conduct).

  7. They will attend Sessions on time and deliver the agreed Session duration (one hour).

  8. They will follow platform policies regarding cancellations, no-shows, and feedback.

  9. They acknowledge they are not employees of unifylingua (unless separately contracted in writing) and are responsible for their own taxes and legal obligations.

  10. They will not attempt to interfere with unifylingua’s relationship with Students or solicit Students away from the platform.

unifylingua may suspend or terminate Tutor accounts for repeated lateness, missed sessions, unprofessional conduct, safety concerns, policy violations, or quality issues.


10) Students’ Warranties

Students warrant that:

  1. They will behave respectfully and appropriately.

  2. They will not harass, threaten, abuse, or discriminate against Tutors or any User.

  3. They understand Tutors may have different teaching styles and accents and will engage in good faith.

  4. They are responsible for selecting Tutors and booking Sessions that meet their needs.

  5. They will not attempt to move communications or payments off-platform.

  6. They are at least 18 or using the Service with guardian consent where permitted.

Repeated no-shows or policy violations may result in restrictions, suspension, or termination.


11) Payment and refund

11.1 Pricing and charges

All pricing is displayed on the Site at the point of purchase. Prices may change at any time, but changes will not affect purchases already completed.

11.2 Payment processing

Payments may be processed through third-party payment processors. unifylingua does not store full payment card details. You agree to comply with the payment processor’s terms.

11.3 Subscriptions (if applicable)

If you purchase a subscription, you authorize recurring charges until canceled. You may cancel your subscription via your account settings or by contacting info@unifylingua.com. Cancellation applies to future billing cycles. Prior payments are non-refundable except where required by law or explicitly stated.

11.4 Refund policy

Refund eligibility depends on what you purchased and how it was used:

  • Digital content access (lessons/quizzes): because access is delivered immediately, refunds may be limited once access begins, except where required by law.

  • Booked Sessions: refunds depend on cancellation timing and attendance rules.

  • Credits/Tokens (if used): unused credits may be subject to expiry if stated at purchase.

If you believe you were charged in error or experienced a failure of service, contact info@unifylingua.com with purchase details and we will review your request in good faith.

11.5 Fraud prevention and chargebacks

We may block transactions suspected of fraud. If you initiate a chargeback without contacting us first, we may suspend your account while the dispute is investigated.


12) Cancellation of the session

12.1 Cancellation window (6 hours)

Once a Session is booked, both Student and Tutor are expected to attend. You may cancel or reschedule up to six (6) hours before the scheduled start time.

12.2 Late cancellation and no-show

If you cancel within six (6) hours of the Session start time or fail to attend, the Session may be considered completed and non-refundable, except where required by law or at our discretion.

12.3 Tutor late cancellation or no-show

If a Tutor cancels within six (6) hours of the Session start time or does not attend, the Student will receive a replacement Session, credit, or refund at our discretion, depending on availability and circumstances.

12.4 Technical problems during sessions

If a Session is disrupted by technical issues, Users should attempt basic troubleshooting. If the problem is caused by the Student’s environment or equipment, the Session may still count as completed. If the problem is caused by the Tutor or platform failure, we may issue a credit or replacement.


13) Procedure

Students may create accounts, purchase Services, book Sessions (where applicable), complete lessons and quizzes, and receive progress feedback.

If the Student is dissatisfied with any Session, the Student must contact info@unifylingua.com within 48 hours with relevant details. unifylingua will investigate and may offer a remedy (replacement/credit/refund) where appropriate. Decisions are made in good faith and are final unless required otherwise by law.


14) Availability of the site and modifications

We may alter, suspend, or discontinue any part of the Site or Services at any time, including features, content, Tutor availability, pricing, or access methods.

We aim to keep the Site available, but do not guarantee uninterrupted, error-free operation. Users must not attempt to hack, disrupt, tamper with, or bypass security measures. Unauthorized use may result in termination and legal action.

We do not guarantee the continued availability of any Tutor.


15) Applicability of online materials

The Site may be accessed from jurisdictions outside the United States. We make no representation that the Site or its Content is appropriate or lawful in all locations. Users access the Site at their own risk and are responsible for compliance with local laws.


16) Linked sites

The Site may contain links to third-party websites. We do not control third-party sites and are not responsible for their content, policies, or services. Accessing third-party sites is at your own risk.


17) Disclaimers and limitation of liability

17.1 No guarantees

The Site and Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

17.2 Educational services disclaimer

Language learning outcomes vary. We do not guarantee specific results, test scores, fluency outcomes, job offers, immigration outcomes, or academic admissions outcomes.

17.3 Limitation of liability

To the fullest extent permitted by law, unifylingua shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption.

To the fullest extent permitted by law, unifylingua’s total liability for any claim arising out of or related to the Site or Services will not exceed the amount you paid to unifylingua in the six (6) months preceding the event giving rise to the claim.

17.4 Third-party providers

We may use third-party services (hosting, payment processors, video conferencing tools, email services, analytics). We are not responsible for outages or failures caused by third parties outside our control.


18) Intellectual property

All Content on the Site, including lesson structures, quizzes, videos, worksheets, branding, logos, and site design, is owned by or licensed to unifylingua and is protected by U.S. and international intellectual property laws.

Users may not copy, reproduce, distribute, resell, modify, publish, publicly display, or create derivative works from unifylingua Content without written permission.

You may use the Content only for personal, non-commercial learning, unless a separate written license is granted.


19) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for breach of these Terms, suspected fraud, harmful conduct, or platform misuse.

You may terminate your account at any time by contacting info@unifylingua.com or using the Site’s account tools (if available).

Upon termination:

  • Your right to access the Site ends immediately.

  • We may delete or anonymize data in accordance with our Privacy Policy and legal obligations.

  • Provisions that by nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and dispute provisions.

Refunds after termination will be handled according to the Payment and refund section.


20) Force Majeure

unifylingua shall not be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to:

  • Natural disasters (earthquakes, hurricanes, floods)

  • War, terrorism, civil disorder

  • Government actions or restrictions

  • Labor disputes, strikes, or embargoes

  • Power outages or internet disruptions

  • Platform-wide technical failures caused by third-party infrastructure

  • Any other unforeseeable event beyond reasonable control
